Terms and Conditions of Business
Version 1.0, effective 28 September 2026
These terms apply to all PR, content and related services supplied by Pulse-PR Ltd, a company registered in England and Wales under company number 06095801, VAT number 841073353, whose registered office is Office 17, Maesteg Business Centre, Maesteg CF34 0BQ (“Pulse-PR”, “we”, “us”), to the business customer named in the Proposal (the “Client”, “you”). Our services are supplied to businesses only, not to consumers.
1. Definitions
- Agreement: these terms together with the Proposal.
- Proposal: our written proposal, quotation, statement of work or retainer letter describing the Services and Fees, as accepted by you.
- Services: the services described in the Proposal, which may include press releases, technical articles and case studies, social media content, media relations, media buying coordination, editorial support and PR strategy.
- Deliverables: the written content and other materials we create for you as part of the Services.
- Client Materials: information, product literature, images, logos, data and other materials you provide to us.
- Fees: the charges set out in the Proposal.
- Business Day: Monday to Friday, excluding public holidays in England and Wales.
2. Basis of the Agreement
2.1 The Agreement starts when you accept the Proposal in writing (including by email), sign it, or ask us to start work, whichever happens first.
2.2 These terms override any terms you try to apply, including terms in your purchase order, unless we agree otherwise in writing.
2.3 If the Proposal conflicts with these terms, the Proposal takes priority.
2.4 Quotations are valid for 30 days from their date unless stated otherwise.
3. Our services
3.1 We will provide the Services with reasonable skill and care, in line with good industry practice.
3.2 Unless the Proposal says otherwise, our standard specifications are:
- press releases of 400-700 words;
- technical articles and case studies of 1,000-1,500 words;
- UK English throughout, unless you ask otherwise.
3.3 Our standard turnaround times, from receipt of a complete brief and all Client Materials, are:
- press releases: 1-2 Business Days (24-48 hours);
- technical articles and case studies: 5 Business Days from the interview.
Urgent work may be possible by agreement and may carry an additional fee. Turnaround times are targets, not guarantees, and depend on you meeting your obligations in clause 4.
3.4 No guarantee of coverage. Publication decisions are made by editors and publishers, not by us. While we will use our experience and contacts to secure coverage, we cannot guarantee that any press release or article will be published, or when, where or in what form it will appear.
3.5 We may use suitably experienced freelance writers or subcontractors to help deliver the Services. We remain responsible for their work, and they are bound by the same confidentiality obligations as us.
4. Your obligations
4.1 You agree to:
- provide a clear brief and all information, Client Materials and access to people (including interviewees) that we reasonably need, in good time;
- make sure the Client Materials are accurate and that you have the right to let us use them, including any images, logos and third-party content;
- arrange permission from any customer or end user featured in a case study before we contact them;
- nominate an authorised approver, normally your UK Managing Director or Marketing Director, and give feedback and approvals promptly;
- check Deliverables for accuracy before approving them.
4.2 If you delay or fail to meet these obligations, we will not be responsible for any resulting delay, and we may charge reasonable additional costs.
5. Revisions and approval
5.1 Our Fees include up to two rounds of revisions per Deliverable. Further revisions, or changes that alter the brief, will be quoted separately and agreed with you before the work starts.
5.2 We will not treat any Deliverable as final, or issue it to the media, until we receive your explicit written approval. Email approval is sufficient.
5.3 Once you approve a Deliverable, you are responsible for its content, including the accuracy of technical claims, specifications and figures, and its compliance with any laws or regulations that apply to your business and products.
6. Fees and payment
6.1 Retainers are invoiced monthly, and each invoice is payable within 30 days of the invoice date. The retainer fee is payable in full each month whether or not you have used all of the Services allocated for that month. Unused allocation does not carry forward and does not entitle you to a refund or credit.
6.2 Project work is invoiced on delivery of the approved Deliverable, unless the Proposal says otherwise. We may ask for a deposit before starting a project. Any deposit will be set out in the Proposal or agreed with you in writing, and will be deducted from the final invoice.
6.3 All invoices are payable within 30 days of the invoice date by BACS bank transfer to the account shown on the invoice.
6.4 All Fees are exclusive of VAT, which will be added at the applicable rate. Our VAT number is 841073353.
6.5 Mileage, travel and other reasonable expenses, such as photography or site visits, may be charged separately in addition to our Fees. These will be set out in the Proposal or agreed with you in advance.
6.6 Late payment. If you do not pay an invoice by its due date, we are entitled under the Late Payment of Commercial Debts (Interest) Act 1998 to:
- statutory interest at 8% a year above the Bank of England base rate in force on the due date, calculated daily from the due date until payment is received;
- fixed compensation for each late invoice of £40 where the invoice is less than £1,000, £70 where it is £1,000 or more but less than £10,000, and £100 where it is £10,000 or more;
- our reasonable costs of recovering the debt, where these exceed the fixed compensation.
We may also suspend the Services until all overdue sums, interest and compensation have been paid.
6.7 We may review our Fees once a year and will give you at least 30 days’ written notice of any increase.
7. Media buying and third-party costs
7.1 Where we arrange advertising, advertorials or other media on your behalf, we act as your agent. The publisher’s own terms and conditions will also apply.
7.2 Media and other third-party costs must be approved by you in writing before we commit to them. A handling charge of 10% of the advertising cost applies, in addition to the cost itself. Media costs and the handling charge are payable under clause 6.3, unless the publisher requires payment in advance, in which case we will invoice you before placing the booking.
7.3 Cancellation charges imposed by publishers or suppliers are payable by you.
8. Intellectual property
8.1 Once we receive full payment for a Deliverable, all copyright and other intellectual property rights in that Deliverable pass to you.
8.2 Until full payment is received, we grant you a licence to review the Deliverable only. It must not be published or distributed until paid for, unless we agree otherwise.
8.3 Client Materials remain your property. You grant us a licence to use them for the purpose of providing the Services.
8.4 We keep ownership of our pre-existing materials, know-how, templates and working methods, and of any interview recordings and notes.
8.5 Unless you tell us otherwise in writing, we may refer to you as a client and use published Deliverables as examples of our work in our portfolio, website and marketing.
8.6 Photographs and images supplied by third parties remain subject to their own licence terms.
9. Confidentiality
9.1 Each party will keep the other’s confidential information confidential and only use it to perform the Agreement. This includes unannounced products, pricing, customer names and commercial plans.
9.2 This does not apply to information that is already public (other than through a breach of this clause), that was already known to the receiving party, or that must be disclosed by law.
9.3 This clause continues for three years after the Agreement ends.
10. Data protection
10.1 Each party will comply with the UK GDPR and the Data Protection Act 2018.
10.2 Where we process personal data on your behalf (for example, contact details of your customers for a case study), we will act only on your documented instructions, keep it secure and confidential, and delete or return it at the end of the Agreement. Our Privacy Policy explains how we handle personal data as a controller.
11. Liability
11.1 Nothing in this Agreement limits or excludes liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be limited or excluded by law.
11.2 We are not liable for any loss of profits, sales, business, revenue, goodwill or anticipated savings, or for any indirect or consequential loss.
11.3 We are not liable for:
- errors in Deliverables arising from inaccurate or incomplete Client Materials, or which you approved;
- the decisions or actions of publishers, editors, social media platforms or other third parties, including edits made to content after we issue it;
- any delay caused by you or by events outside our reasonable control.
11.4 Subject to clause 11.1, our total liability to you arising under or in connection with the Agreement, whether in contract, tort (including negligence) or otherwise, is limited to £2,000 in total.
11.5 You will indemnify us against any claims, losses and costs arising from our use of Client Materials in line with this Agreement, including any claim that Client Materials infringe the rights of a third party.
12. Term and termination
12.1 Retainer Agreements have a minimum initial term of six months from the start date. After that, they continue until either party gives at least 30 days of written notice. Notice may be given during the minimum term but cannot expire before it ends.
12.2 Either party may end the Agreement immediately by written notice if the other:
- commits a material breach that is not remedied within 14 days of being asked to do so in writing; or
- becomes insolvent, enters administration or liquidation, or stops trading.
12.3 We may end the Agreement immediately if any invoice remains unpaid for more than 30 days after its due date.
12.4 When the Agreement ends:
- you will pay for all Services performed and expenses incurred up to the termination date, including work in progress on a pro rata basis;
- all outstanding invoices become due immediately;
- clauses 8, 9, 11, 14 and 15 continue to apply.
13. Events beyond our control
Neither party is liable for delay or failure to perform caused by events outside its reasonable control, such as serious illness, extreme weather, failure of utilities or IT systems, or the actions of third parties. We will tell you as soon as possible and do our best to minimise the effect. If such an event continues for more than four weeks, either party may end the Agreement by written notice.
14. Non-solicitation
14.1 During the Agreement and for six months after it ends, you will not, without our prior written consent, directly or indirectly engage, employ or solicit any employee, freelance writer, designer or subcontractor who has been involved in providing the Services to you.
14.2 If you breach clause 14.1, you will pay us a fee equal to 25% of the first year of fees or salary payable to that person, as a genuine estimate of our loss. This does not stop anyone responding to a general job advertisement.
15. General
15.1 Entire agreement. The Agreement is the entire agreement between us about its subject matter and replaces any earlier discussions or arrangements.
15.2 Changes. Any change to the Agreement must be agreed in writing (including by email) by both parties.
15.3 Assignment. Neither party may transfer the Agreement without the written consent of the other, which will not be unreasonably withheld.
15.4 Notices. Notices must be in writing and sent by email or post to the addresses in the Proposal. Email notices are received on the next Business Day after sending.
15.5 Waiver. A delay in enforcing any right does not mean that right is given up.
15.6 Severance. If any part of the Agreement is found to be invalid, the rest remains in force.
15.7 Working methods. We may use software tools to support our work, including AI-assisted transcription and drafting tools. All Deliverables are reviewed, edited and checked by us before they are sent to you, and we will not put your confidential information into any tool that uses it to train publicly available models.
15.8 Third parties. No one other than Pulse-PR and the Client has any right to enforce the Agreement under the Contracts (Rights of Third Parties) Act 1999.
15.9 Governing law. The Agreement and any dispute arising from it are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
